ARTICLES OF INCORPORATION OF
CAMP CHANCO ALUMNI ASSOCIATION

In compliance with the requirements of Chapter 2 of Title 13.1 of the Code of Virginia of 1950, as amended, the undersigned, all of whom are representatives of the Camp Chanco Alumni Association, and all of whom are of full age, have this day voluntarily associated themselves for the purpose of forming a corporation not for profit and do hereby certify:

ARTICLE I
NAME OF ORGANIZATION

The name of the corporation is Camp Chanco Alumni Association.

ARTICLE II
REGISTERED OFFICE

The principal office of Camp Chanco Alumni Association, which is the initial registered office of Camp Chanco Alumni Association, is 10115 Sharon Springs Dr, Fredericksburg, VA 22408. The name of the county in which the initial registered office is located is Spotsylvania County, Virginia.

ARTICLE III
REGISTERED AGENT

The name of the initial registered agent is Ann Krannitz, who is a resident of Virginia and President of Camp Chanco Alumni Association, and whose business office is 10115 Sharon Springs Dr, Fredericksburg, VA 22408.

ARTICLE IV
ORGANIZATIONAL PURPOSES

Said coporation is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Camp Chanco Alumni Association does not contemplate pecuniary gain or profit to the members thereof, and the specific purpose and mission for which it is formed are:

  • Purpose: To be the voice of the Camp Chanco alumni.
  • Mission: To provide a network of support for the Camp Chanco alumni community.

The purpose and mission will be carried out by the following actions:

  • Maintain a spirit of loyalty between the alumni and Camp Chanco
  • Participate in Camp Chanco's efforts to attract campers
  • To actively and financially support the goals of Camp Chanco
  • Ensure Camp Chanco's continued existence through donations and service

ARTICLE V
NO INUREMENT OR POLITICAL ACTIVITIES

No part of the net earnings of the coporation shall inure to the benfit of, or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article Third hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not particiapte in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

ARTICLE VI
MEMBERSHIP

To be a member of Camp Chanco Alumni Association, a member must meet the following standards:

  • a. be 18 years or older
  • b. have attended a Summer Session at Camp Chanco as either camper or staff or
  • c. have attended a Diocesan event at Camp Chanco such as but not limited to:
    • October Weekend
    • Happening
    • Cursillo

ARTICLE VII
VOTING RIGHTS

Each member shall be entitled to one vote. Voting will be done by email or online.

ARTICLE VIII
BOARD OF DIRECTORS

The affairs of Camp Chanco Alumni Association shall be managed by a Board of Directors, who will be members of Camp Chanco Alumni Association. The names and addresses of the persons who are to act in the capacity of directors until selection of their successors by a majority vote of Camp Chanco Alumni Association members are:

  • President – Ann Krannitz, 10115 Sharon Springs Dr., Fredericksburg, VA 22408
  • Vice President – Jenny Alfano, 11508 Crestmoor Ct., Richmond, VA 23236
  • Secretary – Chuck Alley, 2705 Duke Homestead Rd., Durham, NC 27705
  • Treasurer – Sean Roberson, 5124 Lobaugh Dr., Virginia Beach, VA 23464

ARTICLE IX
DISSOLUTION

Upon the dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

ARTICLE X
DURATION

Camp Chanco Alumni Association shall exist perpetually.

ARTICLE XI
AMENDMENTS

Amendment of these Articles shall require the assent of 75 percent (75%) of the entire membership.

IN WITNESS WHEREOF, for the purpose of forming this corporation under the laws of the State of Virginia, I, the undersigned, constituting the incorporator of Camp Chanco Alumni Association, have executed these Articles of Incorporation, this the 10th day of August, 2008
